Terms of Service

Welcome to XTEC USA LLC. By accessing our website or engaging our professional services, you agree to be bound by the following terms and conditions. These terms constitute a legally binding agreement between you and XTEC USA LLC.

1. Services & Scope

XTEC USA LLC provides enterprise-grade consulting and development in Apps, Data, and Cloud infrastructure. All specific project deliverables, timelines, and budgets are governed by a separate Master Service Agreement (MSA) or Statement of Work (SOW). In the event of a conflict, the project-specific SOW shall take precedence.

2. Intellectual Property (IP) Ownership

• Client Deliverables: Upon full payment, clients typically receive ownership of custom code developed specifically for their unique business application as "work made for hire."
• XTEC Core Frameworks: XTEC USA LLC retains all rights, title, and interest in its pre-existing frameworks, "XTEC-Agents" logic, "XTEC-Vision" algorithms, and proprietary methodologies used to deliver the services. Clients are granted a non-exclusive, non-transferable license to use these components as part of their specific deliverable.

3. Third-Party Engineering Partners

XTEC USA LLC reserves the right to utilize specialized third-party engineering firms and global contractors to fulfill high-scale development requirements. All such partners are bound by strict non-disclosure agreements (NDAs) to protect Client confidentiality.

4. Professional Guarantees & Liability

We provide services using a commercially reasonable level of skill and care. However, due to the evolving nature of AI, Cloud, and Blockchain technologies:

• We do not guarantee that services will be 100% error-free or uninterrupted.
• Limitation of Liability: To the maximum extent permitted by law, XTEC USA LLC’s total liability for any claim arising under these terms is limited to the amount paid to us for the specific service in question.

5. No "Poaching" Clause

Clients agree that during the term of engagement and for a period of twelve (12) months thereafter, they will not directly or indirectly solicit, hire, or contract with any employee or primary contractor of XTEC USA LLC without written consent and a mutually agreed-upon placement fee.

6. Jurisdiction & Dispute Resolution

These terms are governed by and construed in accordance with the laws of the State of Florida. Any disputes arising from these terms or our services shall be resolved through binding arbitration in Florida, or as otherwise determined by XTEC USA LLC.

7. Termination

We reserve the right to cease providing services or deny website access to any user who violates these terms or engages in unethical use of our AI or Cloud resources.
